Terms of Use

Effective date: August 7, 2026

These Terms of Use (“Terms”) govern your access to and use of sourcing.seungkikim.ca (the “Website”), operated by Seung-Ki Kim (“I,” “me,” or “my”).

By accessing or using the Website, you agree to these Terms.

If you do not agree with these Terms, do not use the Website.

1.About This Website

The Website provides information about international sourcing services offered by Seung-Ki Kim and allows businesses and other prospective clients to submit sourcing inquiries.

The Website is intended primarily for commercial and business use.

The Website does not itself constitute a sourcing engagement, brokerage agreement, agency agreement, procurement agreement, purchase agreement, supplier agreement, or other professional services agreement.

2.Submitting a Sourcing Request Does Not Create an Engagement

Submitting a sourcing request, contacting me, sending specifications or other materials, or otherwise communicating through the Website does not create:

I may review, decline, request additional information about, or choose not to respond to any inquiry.

An actual sourcing engagement will be subject to a separate written agreement setting out the applicable scope, responsibilities, fees, payment terms, limitations, and other commercial terms.

If there is any conflict between these Terms and a separate written sourcing agreement, the separate sourcing agreement will control in relation to that engagement.

3.No Guarantee of Sourcing Results

International sourcing involves independent suppliers, manufacturers, markets, commercial conditions, regulations, logistics, and other factors that may be outside my control.

Unless expressly agreed otherwise in a separate written agreement, nothing on the Website constitutes a guarantee that:

Website language describing sourcing, identifying potential sources, narrowing options, or finding suitable opportunities describes the nature and objective of the service. It is not a promise or guarantee of a particular outcome.

4.Suppliers and Other Third Parties

Potential suppliers, manufacturers, factories, distributors, sourcing contacts, logistics providers, service providers, and other third parties are independent parties.

Unless expressly stated in a separate written agreement, I do not own, control, employ, or operate those third parties.

The identification, introduction, discussion, or consideration of a supplier does not by itself constitute a warranty, certification, endorsement, or guarantee of that supplier.

Supplier capabilities, pricing, availability, representations, certifications, production quality, lead times, business practices, financial condition, regulatory compliance, and performance may change.

Any responsibilities I agree to undertake regarding supplier evaluation, verification, negotiation, inspection, quality control, logistics, documentation, or related matters will be defined in the applicable written sourcing agreement.

5.Information You Provide

You are responsible for the accuracy and completeness of information you provide through the Website or in connection with a sourcing inquiry.

This may include:

You should promptly correct material inaccuracies or changes that could affect a sourcing request.

I am not responsible for problems caused by materially inaccurate, incomplete, outdated, misleading, or inconsistent information supplied by you or on your behalf.

6.Your Right to Provide Materials

You must have the legal right and authority to provide any documents, photographs, drawings, specifications, trademarks, designs, data, files, or other materials you submit.

You must not provide materials that:

If you submit materials on behalf of a company or another person, you represent that you are authorized to do so.

7.Use of Submitted Materials for Sourcing

By submitting information or materials for a sourcing inquiry, you authorize me to use, reproduce, transmit, disclose, and share those materials to the extent reasonably necessary to:

This authorization may include sharing relevant information with suppliers, manufacturers, factories, distributors, specialists, sourcing contacts, and other parties located anywhere in the world.

You retain ownership of materials you submit.

This section does not transfer ownership of your intellectual property to me.

8.Confidential Information

Information or materials submitted through the Website are not automatically subject to a confidentiality agreement or non-disclosure agreement.

Because sourcing may require sharing specifications and other information with prospective suppliers and manufacturers, you should not submit information that requires special confidentiality protections unless those requirements have been discussed and agreed to separately.

If specific confidentiality restrictions are required, they should be established in writing before the relevant confidential information is disclosed for sourcing purposes.

9.Regulatory and Legal Requirements

Unless expressly included in a separate written sourcing agreement, you remain responsible for determining the legal, regulatory, safety, certification, labelling, import, customs, intellectual property, and other requirements applicable to products you intend to purchase, import, distribute, or sell.

Information provided through the Website is not legal, customs, tax, regulatory, engineering, safety, or other professional advice.

You should obtain appropriate professional advice where necessary.

10.Website Information

I make reasonable efforts to keep the Website accurate and useful.

However, Website content may contain errors, omissions, incomplete information, or information that becomes outdated.

I may change, remove, or update Website content at any time.

You should not make a material business, purchasing, regulatory, legal, or financial decision solely on the basis of general information published on the Website.

11.Intellectual Property

Unless otherwise stated, the Website and its original content, including its:

are owned by or licensed to Seung-Ki Kim and are protected by applicable intellectual property laws.

You may access and use the Website for legitimate personal or business evaluation purposes.

You may not, without permission:

12.Acceptable Use

You must not use the Website to:

I may restrict or block access where reasonably necessary to protect the Website, infrastructure, business, or other users.

13.Third-Party Websites and Services

The Website may contain links to third-party websites, services, platforms, or resources.

Those third parties operate independently and may have their own terms, privacy practices, security measures, and policies.

I am not responsible for third-party websites or services merely because the Website links to or references them.

14.Privacy

Your use of the Website is also subject to the Privacy Policy available on the Website.

The Privacy Policy explains how personal information is collected, used, disclosed, stored, and protected in connection with sourcing.seungkikim.ca.

15.Website Availability

I do not guarantee that the Website will always be:

The Website may be temporarily unavailable because of maintenance, infrastructure problems, security events, third-party services, updates, or circumstances outside my control.

16.Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and its content are provided on an “as available” basis.

I do not make warranties or representations regarding the Website beyond those that cannot lawfully be excluded.

Nothing in these Terms excludes warranties, conditions, guarantees, or rights that applicable law does not permit to be excluded.

17.Limitation of Liability

To the maximum extent permitted by applicable law, I will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from your access to or use of the Website.

This includes, where permitted by law, losses relating to:

This limitation applies to the Website itself.

Liability relating to an actual sourcing engagement will be governed by the separate written agreement applicable to that engagement.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded.

18.Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, claims, damages, liabilities, or reasonable costs arising from:

This section does not apply to the extent a loss was caused by my own unlawful conduct.

19.No Waiver

If I do not immediately enforce a provision of these Terms, that does not mean I waive the right to enforce it later.

A waiver is effective only in the specific circumstances in which it is given.

20.Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in effect.

21.Governing Law

These Terms and your use of the Website are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.

Subject to any rights or remedies that cannot legally be restricted, disputes relating solely to these Terms or use of the Website will be subject to the jurisdiction of the courts of Ontario.

22.Changes to These Terms

I may update these Terms from time to time to reflect changes to:

The current version will be posted on the Website with an updated effective date.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
